1. Services

1.1 Agency Services

We provide software research, design, development, and consulting services as agreed per project scope, proposal, or statement of work.

1.2 SeedAPI Platform

SeedAPI is a technology platform (“Tech Provider”) that enables businesses (“Clients”) to connect their own WhatsApp Business Accounts (“WABA”) to the WhatsApp Business Platform via Meta’s Embedded Signup and to send, receive, and manage WhatsApp messages, templates, and related data through our APIs and dashboard.

1.3 Meta relationship

SeedAPI is built on Meta’s WhatsApp Business Platform. We are not Meta, and Meta is not a party to these Terms. Clients separately accept Meta’s applicable terms, including the WhatsApp Business Messaging Policy and Commerce Policy, when onboarding.

2. Accounts and Onboarding

• You must provide accurate business information and keep it updated.
• To use SeedAPI, you connect your own Meta Business Portfolio and WABA via Embedded Signup; you retain ownership of your WABA, phone numbers, and message content.
• Phone numbers used must comply with Meta’s requirements (including not being active on the consumer WhatsApp or WhatsApp Business app, unless migrated).
• You are responsible for all activity under your account and API credentials.

3. Client Responsibilities (Acceptable Use)

Clients must:

• Obtain valid opt-in consent from end customers before sending them WhatsApp messages, as required by Meta policy and applicable law
• Comply with Meta’s WhatsApp Business Messaging Policy, Commerce Policy, and messaging limits (quality rating, template rules, per-user frequency limits)
• Not send spam, unsolicited marketing, or content that is illegal, deceptive, harmful, or prohibited by Meta policies
• Not use SeedAPI for regulated verticals prohibited by Meta (e.g., certain financial products, gambling, adult content) without applicable approvals
• Honor opt-out requests promptly

4. Messaging Charges and Billing

• Meta messaging fees – per-conversation / per-message charges for utility, marketing, authentication, and service conversations are billed by Meta directly to the payment method you attach to your WhatsApp Business Platform account. We do not control Meta’s pricing.
• SeedAPI platform fees – subscription and usage fees for using our platform are billed separately via our payment processor and are described on our pricing page or order form.
• Platform fees are non-refundable except as required by law.

5. Intellectual Property

• We own the Website, SeedAPI platform, code, and documentation.
• You own your content, templates, message content, and customer data.
• You grant us a limited license to process your content solely to provide the service.

6. Data Protection

Processing of personal data is governed by our Privacy Policy. For WhatsApp messaging data, you act as data controller and we act as data processor. Each party is responsible for its own compliance with applicable data protection laws (including India’s DPDP Act 2023 and, where applicable, GDPR).

7. Service Availability

• We target high availability but do not guarantee uninterrupted service. Maintenance windows and Meta platform outages may affect availability.
• Message delivery depends on Meta’s infrastructure; we are not liable for Meta-side delays, failures, blocks, or policy enforcement actions.

8. Disclaimers and Limitation of Liability

• Services are provided “as is” without warranties of any kind, express or implied.
• To the maximum extent permitted by law, our aggregate liability is limited to the platform fees you paid us in the 3 months preceding the claim (for SeedAPI) or the fees paid for the relevant project (for Services).
• We are not liable for indirect, incidental, or consequential damages, lost profits, or lost data.

9. Term and Termination

• You may stop using SeedAPI at any time by disconnecting your WABA and cancelling your subscription.
• We may suspend or terminate access for breach of these Terms, Meta policy violations, non-payment, or legal risk, with notice where practicable.
• On termination, we delete or return your data per our Privacy Policy retention terms.

10. Governing Law and Disputes

These Terms are governed by the laws of India. Courts at Ahmedabad, Gujarat have exclusive jurisdiction. Disputes will first be attempted to be resolved amicably within 30 days of written notice.

11. Changes

We may update these Terms; material changes will be posted with a revised “Last updated” date. Continued use constitutes acceptance.
